End‑User License Agreement (EULA)

This End‑User License Agreement (“Agreement”) is a legal agreement between you (“you”, “User”) and Water Computers (“Company”) governing your use of the Workflow desktop software (the “Software”). By installing or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

1. License Grant

Company grants you a limited, non‑exclusive, non‑transferable, revocable license to install and use the Software solely for your personal or internal business purposes, subject to this Agreement.

2. Restrictions

  • Do not copy, modify, translate, or create derivative works of the Software.
  • Do not reverse engineer, decompile, or disassemble the Software except to the extent this restriction is prohibited by applicable law.
  • Do not rent, lease, sell, sublicense, or otherwise transfer the Software to any third party.
  • Do not use the Software for any unlawful purpose, to infringe third‑party rights, or in a manner that violates applicable laws or regulations.

3. Third‑Party Services (QuickBooks Online)

The Software may connect to third‑party services, including Intuit QuickBooks Online (“QBO”). Your use of QBO is governed by Intuit’s separate terms and privacy policies. Company is not responsible for third‑party services.

4. Data and Privacy

Your use of the Software is subject to our Privacy Policy, which explains how we collect, use, and protect information.

5. Updates

Company may provide updates or patches. Updates may be installed automatically to ensure the Software continues to function properly with third‑party services.

6. Ownership

The Software is licensed, not sold. Company and its licensors retain all rights, title, and interest in and to the Software.

7. Disclaimer of Warranties

The Software is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non‑infringement. Company does not warrant that the Software will be error‑free or uninterrupted.

8. Limitation of Liability

To the maximum extent permitted by law, Company will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising out of or related to your use of the Software, even if advised of the possibility of such damages. Company’s total liability will not exceed the amount you paid (if any) for the Software in the twelve (12) months preceding the claim.

9. Term and Termination

This Agreement is effective until terminated. You may terminate by uninstalling the Software. Company may terminate immediately if you breach this Agreement. Upon termination, you must cease all use and destroy all copies.

10. Export and Compliance

You must comply with all applicable export control and sanctions laws and regulations.

11. Governing Law; Disputes

This Agreement is governed by the laws of NY USA, without regard to conflict‑of‑laws rules. The exclusive venue for disputes will be the courts located in New York State, unless prohibited by law.
